Terms of sale
1. Parties and scope
These terms govern quotations, purchase orders and B2B supply of ZnSe material and forms by KM Innovation USA (Florida desk) of product grown by KM Innovation Corp., Gwangju, Korea. The legal seller is the name on the quotation and commercial invoice. Consumers must not order. By sending an RFQ or PO you agree to these terms, the privacy policy and EU / UK supply.
2. Quotations and orders
Quotations are invitations to treat, not firm offers, unless stated in writing. Prices and lead times arise only from a written quotation and an accepted purchase order. We may refuse an order for incomplete specifications, export concerns or credit risk. Website images are illustrative.
3. Pricing and payment
USD unless the quote says otherwise. Title remains with the seller until paid in full. Approved accounts: net 30 from invoice unless quoted otherwise; others may require prepayment. We do not publish a live $/g calculator.
4. Product
ZnSe is a hazardous, soft IR crystal. Grade (laser vs optical), dimensions, coating and form on the quote line control. Datasheet values are typical; lot data on request. We are not a medical-device manufacturer and do not claim ISO 13485. ISO 9001 for the Korea plant is sent as the current registrar PDF on request — we do not treat an expired seal as live.
5. Incoterms, risk, hazmat
Unless quoted otherwise, Incoterms® are EXW or FCA Florida, USA. Buyer is importer of record outside the US. Hazardous-material rules may apply to ZnSe shipments; the ship-to country on the RFQ is required so paperwork matches the crate. Risk of loss transfers per the acknowledged Incoterm.
6. Lead times
Estimates only. Delay from incomplete drawings, export holds, carrier hazmat, or factory load does not create liability for lost production time.
7. Inspection and claims
Inspect on arrival. Transit damage and quantity errors: written notice within 10 days of delivery. Material not to the quoted grade: written notice within 30 days. Used, dry-ground, uncoated-abused or customer-coated parts are not returnable except by written RMA. We accept spent ZnSe for disposal on request — that is not a warranty return.
8. Handling
Buyer is responsible for SDS, PPE, wet process, and lawful disposal after delivery. See the SDS.
9. Limitation of liability
To the maximum extent permitted by Florida law, liability is limited to the price paid for the nonconforming line. No consequential, lost-production or recalled-machine damages. Some jurisdictions restrict these limits.
10. Law
Florida law, excluding conflict-of-law rules. Venue: courts of Sarasota County, Florida, unless the quotation names arbitration. CISG is excluded.
11. Warranty
ZnSe supplied under these terms is warranted to conform to the grade, dimensions and tolerances stated on the acknowledged order for [CONFIRM: warranty period, e.g. 90 days] from delivery. The warranty does not cover material that has been coated, ground, polished or otherwise processed after delivery.
12. Cancellation
Orders for standard stock items may be cancelled before shipment. Orders for custom sizes, water-jet profiles, core-drilled blanks and coated parts enter production on acceptance and are not cancellable once material has been cut.
13. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including acts of government, export licensing delay, carrier failure, hazardous-material transport restriction, plant shutdown, or interruption of H2Se or selenium supply. Delivery dates extend by the duration of the event.
